M&A, partnerships and market entry: from the right target to the value you keep

EDON works across the whole deal: finding and screening targets or partners, commercial due diligence and the business case behind the price, and post-merger integration, so the value in the case is the value you keep. Entering Finland, Italy or the Middle East follows the same path. Legal work is done with legal partners.

Which market, which customers and what offer to lead with are on our Growth and go-to-market page.

Is this your company?

Boards and owners usually call us in one of four situations.

01

The board wants to grow by acquisition

The pipeline is whatever advisers happen to bring.

What we do

the criteria that matter to your strategy, a long list built from the market, and a short list screened for fit and value before anyone talks price.

02

A deal is on the table

The price is agreed in principle, but nobody has tested the customers behind it.

What we do

commercial due diligence and the business case: whether the market, the customers and the plan behind the price hold up.

03

The deal is signed, the value is not in yet

Two organisations, two ways of working, and a synergy case that so far exists only in the model.

What we do

post-merger integration, with day-one readiness, a 100-day plan and the synergies tracked against the case.

04

The next market is abroad

The board wants a presence there within a year, and the team has a spreadsheet, not a plan.

What we do

the market read, the choice between going direct, partnering or buying, and the first year of execution in Finland, Italy or the Middle East.

How we work, in every capability

The four moves in full
  1. 01DiagnoseSo you solve what actually matters, fast.
  2. 02ProveSo you see tangible value before committing further, and hold something useful from day one.
  3. 03DeliverSo the strategy lives, instead of dying on the shelf.
  4. 04TransferSo your team is stronger when we leave.

When we would say no

  • The legal and tax work. Contracts, the legal due diligence and the tax structure stay with your lawyers and tax advisers; we work alongside them.
  • The core business is short of cash. Buying growth adds risk to a company that needs a turnaround first; our page on business turnaround in Finland covers the first 30 days.
  • The case rests on hope. Companies routinely overestimate how attractive foreign markets are (Harvard Business Review, 2001 (opens in a new tab)); test the case before you commit to it.
  • The market cannot carry the product. If it must scale fast, or needs more localisation than its margin pays for, a partner covering several countries may be the better first step.

Questions

Do you start with finding targets, or with one we already have?

Either. Some clients arrive with a target and need the commercial due diligence; others need the search itself. The work can continue through the deal to integration.

What does commercial due diligence cover?

The market and its growth, how concentrated the customers are, the competitive position and the assumptions in the seller's plan. It runs alongside the financial and legal work.

Do we need our own company to enter Finland?

Not at the start. Many firms test the market through a distributor, an agent or a partner, and set up a Finnish limited company (Oy) once sales justify it.

Do you work on the sell side too?

Yes, when a unit or a product line would be worth more to someone else: the case for selling, the carve-out, the list of possible buyers and a process that protects value.

Start with the problem, not the proposal.
